Chapter Constitution and Bylaws

Adopted by the Membership on November 17, 2011.

 

 

This is the Constitution and Bylaws of the Central Iowa Chapter of the University of Nebraska Alumni Association (hereinafter “Chapter”), and, as amended, shall govern the activities, policies and procedures of the Chapter.

 

 

Article I

Name

 

This Chapter may otherwise be identified as “Iowans for Nebraska”, “Iowans 4 Nebraska”, “I4N” and “IA4NU”.

 

 

Article II

Purpose

 

This Chapter is formed to cooperate with the Nebraska Alumni Association of the University of Nebraska to inform, involve and recognize graduates, current and former students and friends of the University of Nebraska, and in encouraging and coordinating activities of graduations, current and former students in the welfare of the University of Nebraska.

 

Membership is limited to any persons having an interest in supporting the University of Nebraska-Lincoln. Our mission is serving and enriching alumni by attracting and retaining them through involvement.

 

This Chapter shall provide personal contact, commingling and social opportunities for fans and friends of the University of Nebraska to gather in support of the University. Additionally this Chapter shall perform community serviceprojects for the betterment of our Iowa neighbors.

 

This Chapter has established and shall support an endowment with the University of Nebraska to provide annual scholarship funds encouraging Iowa high school students to attend the University of Nebraska-Lincoln.

 

This Chapter shall be organized as an unincorporated nonprofit association of members in a social club consistent with the requirements of section 501(c)(7) of the Internal Revenue Code, as amended, and the Iowa Revised Uniform Unincorporated Nonprofit Association Act, as amended.

 

 

Article III

Powers

 

The Chapter shall have all the powers necessary to provide activities in promotion of its purpose including, but not limited to, the power to collect, hold and disseminate information consistent with its purpose; to conduct seminars and workshops; and the power to collect dues and disperse funds in furtherance of its purposes.

 

No part of the net earnings of the Chapter shall inure to the benefit of, or be distributable to, any member, director or officer of the Chapter, or any other private person, except that the Chapter shall be authorized and empowered to pay reasonable compensation for services rendered to or for the Chapter and to make payments and distributions in furtherance of the purposes set forth in section 2.0.

 

 

Article IV

Members

 

Section 1. Membership

 

Membership shall be limited to persons having an interest in supporting the University of Nebraska. The official membership shall consist of persons who have currently paid their annual Chapter dues in full, as determined by the Officers. All references to Members in this document shall mean Members in good standing who are current in their dues contributions. This Chapter does not discriminate in its membership or activities on the basis of age, race, color, ethnicity, religion, sex, or sexual orientation.

 

Section 2. Membership Dues

 

Membership in the Chapter shall run from January 1 through December 31. Dues shall be collected by the Treasurer. Dues shall be $15 for an individual, and $25 for a family membership. Active membership may be obtained by any eligible person through registration with the chapter, payment of dues and any other requirements as determined by the Board of Directors.

 

Section 3. Expulsion

 

No Member may be expelled from the Chapter except for failure to timely pay dues or other good cause pursuant to this Constitution and Bylaws. Expulsion of any Member must be approved by two-thirds (2/3) vote of attending Members (including proxies) at any Regular or Special meeting of the Chapter.

 

 

Article V

Board of Directors

 

Section 1. Board Membership

 

The Board of Directors shall consist of the Officers, the immediate Past President of the Chapter, and the Chairs of the Standing Committees, and shall meet from time to time pursuant to Notice of Meeting. If one person occupies more than one position on the Board of Directors, that person shall have only one vote on motions or resolutions at Board Meetings. Board Members may proxy their attendance and vote to any other member of the Board.

 

Section 2. Duties

 

The Board of Directors shall have the authority to take appropriate actions for benefit of the Chapter, including but not limited to the approval and entering of contracts and disbursement of funds.
Section 3. Compensation

 

No Director shall receive any compensation or other personal financial benefit for services to the Chapter. Directors may be reimbursed for out-of-pocket expenses incurred while carrying out assigned duties of the Chapter, with approval of the Board or Chapter.

 

 

Article VI

Officers

 

Section 1. Composition.

 

The Officers of the Chapter shall consist of a President, Vice-President, Secretary, and Treasurer.

 

The President shall call and preside over all Regular or Special Meetings of the Board or Chapter; Prepare an agenda for all Meetings; Decide on all questions of order; Enter into contracts and other obligations on behalf of the Chapter as directed by the Board or Chapter; and Take such other appropriate actions as directed by the Board or Chapter and per this Constitution and Bylaws.

 

The Vice-President shall serve in the role of the President upon the President’s absence; and Take such other appropriate actions as directed by the President, Board or Chapter and per this Constitution and Bylaws.

 

The Secretary shall keep the Records and Minutes of all meetings of the Chapter and Board; Keep on file all Committee Reports and Minutes; Take official Membership role at all Meetings; Make such Records and Minutes available to the Board and Chapter upon request; and Take such other appropriate actions as directed by the Board or Chapter and per this Constitution and Bylaws.

 

The Treasurer shall maintain and report to the President, Board and Chapter the accounting records of the Chapter; Open and maintain bank accounts as directed by the President, Board or Chapter; Collect and deposit dues and other revenues of the Chapter; Dispense funds of the Chapter including the writing of checks as directed by the President, Board or Chapter; and Take such other appropriate actions as directed by the Board or Chapter and per this Constitution and Bylaws.

 

Any one person may serve in more than one elected or appointed Officer capacity except that the Treasurer and Secretary must not be the same person.

 

Any Officer may resign at any time upon notice to the Board, and resignation shall be effective upon receipt of notice of resignation.

 

Officers shall serve from the date of their election or appointment through the next election.

 

Section 2. Duties

 

It shall be the duty of the President and other Officers to encourage the continued growth of the Chapter; to stimulate interest in the University of Nebraska and the Alumni Association among the alumni and general public; to maintain a clearinghouse for Chapter and Alumni Association news; to encourage alumni and others in establishing endowment and scholarship funds; to arrange for meetings and preserve Chapter records; to aid in keeping the alumni in touch with the University through Chapter and Alumni Association membership and the University in touch with the alumni; to assist the University in getting the sentiment of alumni on any University matter of policy; to arrange for meetings and gatherings of alumni; to take appropriate actions putting into effect the provision of this Constitution and Bylaws; and to in general promote the object for which this Chapter is organized.

 

Section 3. Elections

 

Officers shall be chosen by a majority vote of the Chapter from among the Members of the Chapter. Nominations for positions as Officers may be made by any Member of the Chapter. Nominations shall be made by March 31 of the year, and Elections shall occur in April of the year, or as soon thereafter as possible. Term of office shall be from date of election until the next election.

 

Section 4. Compensation

 

No Officer shall receive any compensation or other personal financial benefit for services to the Chapter. Officers may be reimbursed for out-of-pocket expenses incurred while carrying out assigned duties of the Chapter, with approval of the Board or Chapter.

 

Section 5. Vacancies

 

When any Officer’s position becomes vacant, the remaining Members of the Board shall have the power to appoint and fill the vacancy with any Member of the Chapter until the next scheduled election.

 

Section 6. Removal from office

 

No Officer shall be removed from their elected or appointed position except for failure to pay dues, failure to attend Board or Member meetings without prior notification to the Board or other good cause pursuant to this Constitution and Bylaws. Removal from elected or appointed office must be approved by sixty percent (60%) vote of attending Members (including proxies) at any Regular or Special meeting of the Chapter.

 

 

Article VII

Committees

 

Section 1. Committees established

 

The Chapter shall maintain Standing Committees as established in this Constitution and Special Committees as otherwise created by the President or Chapter. Any one person may serve in multiple capacities as Officer(s) and Committee Chair(s) except as otherwise noted.  The President shall serve as an Ex-Officio non-voting member of all Committees.

 

Section 2. Standing Committees Defined

 

Standing Committees of the Chapter shall include: Communications; Membership; Service; and Social.

 

The Communications Committee shall keep Membership contacts updated and shall communicate with Members as directed by the Board or Chapter, including responsibilities for communication of upcoming Board and Chapter meetings.

 

The Membership Committee shall keep updated lists of the Membership and collect and forward to the Communications Committee identifying information as needed by the Communications Committee.

 

The Service Committee shall identify, recommend and organize community service activities for Chapter support as approved by the Board or Chapter.

 

The Social Committee shall organize social activities for Chapter Members as approved by the Board or Chapter.

 

No Standing Committee Chair shall be removed from their elected or appointed position except for failure to pay dues, failure to attend Board, Committee or Chapter meetings without prior notice to the Board or other good cause pursuant to this Constitution and Bylaws. Removal from elected or appointed office must be approved by sixty percent (60%) vote of attending Members (including proxies) at any Regular or Special meeting of the Chapter.

 

Section 3. Standing Committee Elections; Terms of Office

 

Chairs of the Standing Committees shall be elected by the Chapter. Nominations for Committee Chairs may be made by any Member of the Chapter. Nominations shall be made by March 31 of the year, and Elections shall occur in April of the year, or as soon thereafter as possible. Term of office shall be from date of election until the next election.

 

Any Standing Committee Chair may resign at any time upon notice to the Board, and resignation shall be effective upon receipt of notice of resignation.

 

Any vacancy of a Standing Committee Chair shall be replaced by appointment by the President who shall serve until the next scheduled election.

 

Membership of Standing Committees shall be as appointed by the President and shall consist of Members of the Chapter. Committee Chairs shall serve from the date of their election or appointment through the next election.

 

Section 4. Special Committees

 

Special Committees may be created by the President as needed and Chairs shall be as appointed by the President and serve at the pleasure of the President.

 

Membership in a Special Committee shall be as appointed by the President and shall consist of Members of the Chapter.

 

Any Special Committee Chair may resign at any time upon notice to the Board, and resignation shall be effective upon receipt of notice of resignation.

 

Committee Chairs shall serve from the date of their appointment through the next election, through the dissolution of the Special Committee, or by removal from that appointment by the President, whichever comes first.

 

 

Article VIII

Meetings

 

Section 1. Regular Meeting

 

The President shall call for a meeting of the full Chapter at least once annually for the purpose of election of Officers and Standing Committee Chairs.

 

Section 2. Special Meeting

 

Other meetings of the Board of Directors or Chapter shall be called from time to time by the President or any officer upon reasonable notice.

 

Section 3. Quorum

 

A majority of the Membership of the Board, including proxies, shall constitute a quorum for Board Meetings.

 

A majority of those attending a Regular or Special Meeting of the Chapter, including proxies, shall constitute a quorum for those meetings.

 

 

Article IX

Parliamentary Authority

 

The usual parliamentary rules governing deliberative bodies contained in the current edition of Robert’s Rules of Order Newly Revised shall govern in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rule or order of the Chapter

 

 

Article X

Amendment of Constitution and Bylaws

 

This Constitution and Bylaws may be amended at any Regular or Special Meeting of the Chapter by a sixty percent (60%) vote of those attending, provided notice of the topic of amendment has been communicated to all Members not less than seven (7) days prior to the meeting at which amendments are considered. Chapter Members may proxy their votes to any other Chapter Member at the meetings.

 

This Constitution and Bylaws may be amended at any Regular or Special Meeting of the Chapter by unanimous consent of those Members in attendance (including proxies) without prior notice of the topic of amendment.

 

Any changes to the Constitution and Bylaws shall be communicated to all Chapter Members within seven (7) days following the date of the change.

 

 

Article XI

Dissolution

 

This Chapter may be dissolved upon a two-thirds (2/3) vote of attending Members at any Special Meeting called for that purpose following twenty-eight days (28 days) notice to all Members.

 

In the event of dissolution of this Chapter, any remaining funds not otherwise obligated as debt shall be deposited in the Chapter’s endowed scholarship fund at the University of Nebraska.
